Payment and disbursement terms
Agreement between your organization and Tour Planner Pro for traveler card payments, fees, settlement, and related matters.

Parties
This Agreement is entered into by and between Observation Assistant LLC, doing business as Tour Planner Pro ("Company") and the organization that uses Tour Planner Pro traveler card payment features ("Organization," "you"). An authorized Organization representative who enables or administers card payments agrees to this Agreement on behalf of the Organization.
Purpose and permitted card charges
Company provides software through which Organization may, when the feature is enabled and subject to separate workspace subscription and Stripe configuration, collect card payments related to group travel managed in Tour Planner Pro. Permitted charges include, where applicable: trip balances and installments, deposits or registration fees, and optional trip-related items configured in the product. Organization agrees not to use card payments for unrelated goods or services or for unlawful purposes.
Stripe and settlement models
Card processing is provided by Stripe, Inc. and its affiliates. Depending on Organization’s configuration, new traveler charges may settle on Organization’s Stripe Connect Express account or on Company’s platform Stripe account with subsequent disbursement to Organization as supported in the product. Legacy or migrated charges may follow a different path until reconciled. Organization is responsible for completing Stripe onboarding, maintaining accurate banking details in Stripe where Connect is used, and complying with Stripe’s terms and verification requests.
Cardholder statement descriptor
Charges may appear on the cardholder’s statement under a descriptor set in Stripe (which may reference Tour Planner Pro, Organization, or a shortened form). Exact wording can vary by payment path and Stripe settings; cardholders should rely on emailed receipts and the checkout session for confirmation.
Fees
Stripe processing fees and Company platform or application fees may apply. When Organization enables pass-through of fees to the traveler or family payer, the checkout amount may include those fees so that the trip credit portion matches the amount applied to the traveler balance. When fees are not passed through, they may be deducted from amounts otherwise available for disbursement or settlement. Fee schedules may change with notice as permitted by law and your agreements with Company.
Holding funds and disbursement
For charges that settle on Company’s platform Stripe account, Company records amounts owed to Organization and supports disbursement requests through operational workflows described in the product. For Connect charges, funds generally settle in Organization’s Stripe account and payouts follow Stripe’s schedule to Organization’s bank. Timing depends on banking rails, Stripe risk reviews, weekends and holidays, and reconciliation status. Company does not guarantee a fixed number of calendar days for funds movement except as expressly stated elsewhere in a signed order form.
Refunds
Organization may initiate refunds through supported in-product actions while funds and product rules allow. Processing and platform fees may be non-refundable to the extent permitted by Stripe and Company policy. Refund capability may be limited after disbursement requests or allocations as shown in the product.
Chargebacks and disputes
If a cardholder initiates a dispute or chargeback, Stripe and card networks impose timelines and fees. Amounts successfully charged back, and associated dispute fees, may be debited against Organization’s available balances, future settlements, or—if funds were already disbursed—**[Counsel to choose:] (A)** invoiced to Organization for reimbursement, **(B)** netted against future amounts owed to Organization, or **(C)** another mechanism described in an order form.
Organization agrees to cooperate with reasonable evidence requests and encourages families to contact Organization before disputing charges with their bank when issues can be resolved with a refund or adjustment.
Reconciliation and notices
Organization should use in-product financial summaries, Stripe dashboards (where applicable), and communications from Company to monitor payment status. Organization agrees to notify Company promptly if it believes a material error has occurred, including through the support channel provided in the product or on the website.
Disclaimer; limitation
Company provides software and payment facilitation as described in the Terms of Service. To the maximum extent permitted by law, the same disclaimers and limitations of liability in the Terms apply to this Agreement, except that nothing in this Agreement is intended to reduce any non-waivable rights under payment network rules or law.
Changes
Company may update this Agreement by posting a revised version with a new effective date. Where Stripe or law requires additional notice or re-acceptance, Company will follow those requirements.
